Time Warner Inc. is a media and entertainment company. The Company was formed in connection with the merger of America Online, Inc. and Time Warner Inc., now known as Historic TW Inc., which was consummated on January 11, 2001. The Company classifies its businesses into the three reporting segments: Networks, consisting principally of cable television networks that provide programming; Filmed Entertainment, consisting principally of feature film, television and home video production and distribution; and Publishing, consisting principally of magazine publishing. The Company's Networks business consists principally of domestic and international basic cable networks, pay television programming services and a broadcast television network. The basic cable networks owned by Turner Broadcasting System, Inc. constitute the principal component of the Company's basic cable networks. The Company's Filmed Entertainment businesses produce and distribute theatrical motion pictures, television shows, animation and other programming and videogames, distribute home video product, and license rights to the Company's feature films, television programming and characters. All of the foregoing businesses are principally conducted by various subsidiaries and affiliates of Warner Bros. Entertainment Group. The Company's publishing businesses are conducted by Time Inc., a wholly owned subsidiary of the Company, either directly or through its subsidiaries. Under the Communications Act of 1934, as amended, and its implementing regulations, cable networks are subject to certain direct and, through their distribution partners, indirect obligations relating to closed captioning, political advertising, and commercial limits on programming produced and broadcast for an audience of children 12 and under. The Company's magazine subscription and direct marketing activities, as well as marketing activities by other divisions of the Company, are subject to regulation by the FTC and each of the states under general consumer protection statutes prohibiting unfair or deceptive acts or practices.
